Terms And Conditions

Introduction

These Terms and Conditions (“Terms”) govern your use of the SMC TECH website located at www.smctechsolutions.com and any services provided by SMC TECH (“we”, “us”, “our”). By accessing our website or engaging our services, you agree to be bound by these Terms in full. If you do not agree with any part of these Terms, please do not use our website or services.

SMC TECH is a digital marketing agency based in the United Kingdom, delivering services to businesses across the UK and internationally.

Services

SMC TECH provides the following digital marketing services:

  • Web Development
  • Search Engine Optimisation (SEO)
  • Graphic Designing
  • Video Editing
  • Lead Generation
  • Social Media Marketing
  • Digital Advertising & PPC

The specific scope, deliverables, timelines, and pricing for any service engagement will be agreed upon in writing via a formal proposal or service agreement prior to commencement of work.

Quotations and Proposals

3.1 All quotations and proposals provided by SMC TECH are valid for 30 days from the date of issue unless otherwise stated.

3.2 Quotations are based on the information provided by the client at the time of enquiry. SMC TECH reserves the right to revise pricing if the scope of work changes following initial assessment.

3.3 Acceptance of a proposal whether by written confirmation, payment of a deposit, or written instruction to proceed constitutes agreement to these Terms and the terms outlined in the proposal.

Payment Terms

4.1 Unless otherwise agreed in writing, the following payment structure applies:

  • A 50% deposit is required before work commences
  • The remaining 50% balance is due upon project completion and prior to final file or website delivery

4.2 For ongoing monthly services (SEO, Social Media Marketing, PPC, etc.), payment is due at the beginning of each monthly billing period.

4.3 All prices are quoted in British Pounds (£) unless otherwise stated. International clients are responsible for any applicable bank transfer fees or currency conversion costs.

4.4 Late payments beyond 14 days of the due date may result in suspension of services until the outstanding balance is settled. SMC TECH reserves the right to charge interest on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

4.5 All payments are non-refundable once work has commenced, except where SMC TECH has failed to deliver the agreed services.

Client Responsibilities

5.1 The client agrees to provide all necessary materials, information, access credentials, and approvals required for SMC TECH to carry out the agreed services in a timely manner.

5.2 Delays caused by the client’s failure to provide required materials or approvals may result in revised timelines at no additional cost to the client, but SMC TECH accepts no liability for missed deadlines resulting from such delays.

5.3 The client is responsible for ensuring that all materials provided to SMC TECH (including images, text, logos, and other content) do not infringe any third-party intellectual property rights. SMC TECH accepts no liability for any claims arising from client-supplied materials.

5.4 The client is responsible for reviewing and approving all deliverables before final publication or launch. Once approved by the client, SMC TECH accepts no responsibility for errors or omissions.

Revisions and Amendments

6.1 The number of revision rounds included in each project is outlined in the relevant proposal or service package.

6.2 Revisions beyond the agreed number may be subject to additional charges, which will be communicated to the client in advance.

6.3 Significant changes to the project scope after work has commenced (“scope creep”) may require a revised proposal and additional fees.

Intellectual Property

7.1 Upon receipt of full and final payment, all intellectual property rights in the deliverables created by SMC TECH for the client including website designs, graphic assets, written content, and video edits are transferred to the client.

7.2 Until full payment is received, all work produced by SMC TECH remains the intellectual property of SMC TECH.

7.3 SMC TECH retains the right to display completed work in its portfolio, on its website, and in marketing materials unless the client expressly requests otherwise in writing.

7.4 SMC TECH retains ownership of any proprietary tools, frameworks, templates, or methodologies used in the delivery of services.

Confidentiality

8.1 Both parties agree to keep confidential any sensitive business information shared during the course of the engagement and not to disclose it to any third party without prior written consent.

8.2 This confidentiality obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

Third-Party Services and Platforms

9.1 Certain services provided by SMC TECH may involve the use of third-party platforms including Google Ads, Meta Ads, WordPress, and other digital tools. The client acknowledges that SMC TECH has no control over the policies, pricing, or changes made by these third-party platforms.

9.2 Any costs associated with third-party platforms including advertising budgets, software subscriptions, domain registrations, and hosting fees are separate from SMC TECH’s service fees and are the sole responsibility of the client unless otherwise agreed.

9.3 SMC TECH accepts no liability for disruptions, changes, or losses arising from third-party platform policy changes or outages.

Advertising Spend

10.1 For PPC, Meta Ads, and Google Ads services, the client’s advertising budget is paid directly to the relevant platform (Google or Meta) and is entirely separate from SMC TECH’s management fee.

10.2 SMC TECH will manage campaigns within the agreed budget but cannot guarantee specific results such as click-through rates, conversion rates, or return on ad spend. Performance depends on multiple factors including market conditions, competition, and platform algorithm changes.

No Guarantee of Results

11.1 SMC TECH will use all reasonable skill, expertise, and effort to deliver results for its clients. However, due to the nature of digital marketing, we cannot guarantee specific outcomes including but not limited to:

  • Search engine rankings or organic traffic levels
  • Social media follower growth rates
  • Advertising click-through or conversion rates
  • Lead volumes or revenue generated

11.2 Any projections, forecasts, or estimates provided by SMC TECH are based on experience and industry data and are not guarantees of performance.

Termination

12.1 Either party may terminate an ongoing service agreement by providing 30 days written notice to the other party.

12.2 In the event of termination by the client, any work completed up to the termination date will be invoiced and is payable by the client.

12.3 SMC TECH reserves the right to terminate services immediately without notice if:

  • The client breaches these Terms
  • The client engages in illegal, fraudulent, or unethical activity
  • Outstanding invoices remain unpaid beyond 30 days of the due date

12.4 Upon termination, SMC TECH will provide the client with all completed deliverables for which full payment has been received.

Limitation of Liability

13.1 To the fullest extent permitted by law, SMC TECH’s total liability to the client in connection with any service engagement shall not exceed the total fees paid by the client for the specific service giving rise to the claim.

13.2 SMC TECH shall not be liable for any indirect, consequential, special, or incidental losses including but not limited to loss of profits, loss of business, loss of data, or reputational damage.

13.3 Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

Indemnification

The client agrees to indemnify and hold SMC TECH harmless from any claims, losses, damages, costs, or expenses (including legal fees) arising from:

  • The client’s breach of these Terms
  • Any materials supplied by the client that infringe third-party rights
  • The client’s misuse of SMC TECH’s deliverables

Website Use

15.1 The content on www.smctechsolutions.com is provided for general information purposes only. SMC TECH makes no warranties regarding the accuracy, completeness, or suitability of the information on the website.

15.2 Unauthorised use of this website may give rise to a claim for damages and/or be a criminal offence.

15.3 You must not use our website in any way that causes or may cause damage to the website, impairs its availability, or is unlawful, fraudulent, or harmful.

Governing Law

These Terms and any disputes arising from them shall be governed by and construed in accordance with the laws of England and Wales. Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales.

Changes to These Terms

SMC TECH reserves the right to update or modify these Terms at any time. Changes will be effective immediately upon publication on our website. Continued use of our website or services following any changes constitutes acceptance of the updated Terms. We recommend reviewing this page periodically.
